I think the first one is limited edition.  It dosen't come with any other features though.

Yep, I think it comes in a tin, like some special edition DVD boxsets.

As others pointed out, the main difference is that one is in a Tin, versus a CD/DVD case.
 
That pricing is ridicolous and one charges $7.99 for shipping the tin! - I saw that in Bestbuy for $24.99.

Different sellers aswell. One's sold by Amazon, the other is sold by HitGaming.

Yup; Amazon comes with guarentee and Warranty.. Seller = unknown.
